Sequoiagames.com Knowledge Suite Free Download License Agreement

1. PARTIES

This Free Download License Agreement (the "Agreement") is a legal agreement between you and Sequoiagames.com, or its assigns, a company duly registered under the laws of The U.S. By installing, copying or otherwise using the MEDIA you agree to be bound by the terms Agreement.

2. GRANT OF LICENSE

This Agreement grants you a license to use the all of the downloadable content on Sequoiagames.com (the "MEDIA") as follows: (i) Installation and Use. You may install and use a copy of the MEDIA that you have personally downloaded from the Sequoia Games web site on a single computer.

(ii) Reproduction and Distribution. You may not reproduce or distribute the MEDIA in any manner except for backup; and then only provided that: * the MEDIA is used only on a single computer at any time; * all copyright notices are maintained on all copies of the MEDIA, * each copy of the MEDIA shall be accompanied by a copy of this Agreement, and * no copy shall be offered for resale, rent, lease or disclosed to any third party.

3. DESCRIPTION OF OTHER LIMITATIONS

The license to use the MEDIA is subject to the following limitations: (i) The license is granted to you for use in FPS creator purposes only. In the event that the MEDIA should be part of a game that would like to be sold commercially, you must first notify Sequoia Games via email, and you must display the following in the game credits: "Special Thanks To Sequoiagames.com" OR you must display the Sequoiagames.com logo as a splash screen (available by request via email) in the opening or closing of the game. (ii) You may not reverse engineer, decompile, or disassemble the MEDIA, except and only to the extent that applicable law notwithstanding this limitation expressly permits such activity. (iii) Separation of Components. The MEDIA is licensed as a single product. Its component parts may not be separated for use on more than one computer except for the purpose of execution of the software on your computer network, and only during the time such execution is underway. (iv) Software Transfer. You may not transfer any of its rights under this Agreement. (v) Confidentiality. You may not in whole or in part disclose the MEDIA to any third party.

4. TERM AND TERMINATION

Your license will be terminated if you fail to agree with any of the above requirements. Without prejudice to any other rights, Sequoiagames.com may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement or for any other reason deemed neccisary using the sole descretion of the content creator (Sequoia Games).

5. COPYRIGHT

All title and copyrights in and to the MEDIA, any accompanying printed materials and any copies of the MEDIA are owned by or licensed to Sequoiagames.com. The MEDIA is protected by copyright laws and international treaty provisions. You must treat the MEDIA like any other copyrighted material. All title and intellectual property rights in and to the content which may be accessed through use of the MEDIA is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This Agreement grants you no rights to use such content.

6. LIMITED WARRANTY

Sequoiagames.com and its suppliers expressly disclaim any warranty for the MEDIA. The MEDIA and any related documentation is provided "as is" without warranty of any kind, either expressly or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the software remains with you.

7. NO LIABILITY FOR CONSEQUENTIAL DAMAGES

In no event shall Sequoiagames.com or its suppliers, or their employees, contractors, or subcontractors, or their employees, be liable for any damages whatsoever (including, without limitation, damages for loss of business profit, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the MEDIA even if Sequoiagames.com or any of its suppliers has been advised of the possibility of such damages.

8. GOVERNING LAW AND ARBITRATION

This Agreement shall be governed by and construed in accordance with United States law. Venue shall be the Court of The United States Of America.

9. REMOTE LINKING

You may not link to the specific download files on Sequoiagames.com. instead, if you wish to provide a link to Seqoiagames.com content, you must link to the page on which the content resides, NOT the specific download links.
